New Articles of Association passed at KBSA EGM

The KBSA has confirmed that proposed new rules and Articles of Association have been passed by members at an EGM held today (14/07/10) at the Arden Hotel, Birmingham. This EGM meeting followed an adjourned AGM that was held last week at Wigmore Street in London.

Members voted in support of the changes that will update the old Articles of Association and allow the KBSA to operate more efficiently. KBSA CEO Graham Ball said, "We are delighted that we have completed what the difficult task of bringing the outdated rules and regulations that were written more then 30 years ago up to date. The legal work involved has been extensive but the benefits for the Association moving forward are significant.

"The new rules and Articles of association will allow us to take advantage of the new provisions put in place in the Companies Act 2006 and enable the association to administer itself on a more effective and modern way on a day to day basis."

Members were also asked for consent for the KBSA to communicate electronically via the website which was also passed. Graham adds, "The sending of notices electronically rather than in the post will deliver significant savings and speed up the provision of information to members. The reduction in the amount of paper we use will also have environmental benefits."

The old Articles of Association stated that that twenty five retail members were required to allow the voting on resolutions to take place at AGM's.

"The new Articles allow for fewer members to be present at the meeting to enable the vote to take place, as many members find it easier to vote by proxy as they did for this EGM. In the future we hope that the electronic communication can be extended to allow for voting electronically as well," says Graham.

"The 2010 AGM will be held on Thursday 16th September at the Heritage Motor Centre in Warwickshire and will coincide with the kbbreview kitchen conference so that members can make best use of their time away from the showroom or the office by attending the KBSA AGM and the conference.

"The AGM can now take its rightful place as an important event in the KBSA calendar that is not just about dealing with resolutions and the election of officers. We now have the opportunity to have a more interesting and interactive meeting. This year we will present a comprehensive review of our activities and share our plans for the future and gain direct feedback from members."
